Form an LLC without difficulty | ArticleBro.com

Launching a business usually carries a number of potential risks. Establishing a corporation during these volatile economic times can be disadvantageous. This is especially true should you be starting one on your own or for the very first time. Should you be looking for an option that is less formal but is really as flexible as a corporation, forming an LLC might be your best option.

LLC is an acronym for Limited Liability Company. It is a hybrid business model mixing the limited liability feature of a corporation and mixing it with the operational flexibility of a partnership. It is a model becoming more popular with smaller businesses across the country. Despite its combining of the two essential features of a corporation ad partnership, it?s not one or the other ? it?s its own kind of business unit.

Its introduction in 1977 makes this business model relatively new to the US. In other parts of the world, it dates further back and is included with different statutes and guidelines. In the US, ?partners? of an LLC are generally known as ?members.? Members benefit from incorporation while keeping a small business setup. Very much like a partnership or proprietorship, members record losses and profits for their individual tax returns. Just like a corporation, members have protection from personal liability ? that means, they are not responsible or responsible for any company debts.

One of the best things about the formation of an LLC would be the fact that if the company runs into any legal trouble, only company assets are at risk. Creditors can?t go after any members and their personal assets. Many prefer to form an LLC due to this reason alone.

Although each state has their own set of guidelines, listed here are some basic principles when forming an LLC.

- Choose a Business Name ? When it comes to this regard, your company?s name needs to be distinct from other entities in the state and needs clear labeling as an LLC. Some states also restrict the use of certain words such as bank and insurance. Be mindful of prohibited words upon setup.

- Filing of the Articles of Organization ? This document is a complete overview of your business. It provides essential information such as your business name, its address, and its members. What?s more, it documents the stocks that your company may issue and legitimizes the operation of your enterprise.

- Operating Agreement ? Right here is the written code of conduct for your LLC. It works as a binding contract among members and needs formal adaption and amendment. While it is not necessary in most states, the general recommendation is to draft one if you?re to form an LLC.

- Licenses and Permits ? Regulations vary according to industry, and even by state. Seeing a knowledgeable document filing company comes in handy while preparing and filing the required documents.

Operational ease is among the greatest advantages of an LLC. Since this is the case, there is the option to file paperwork on your own or employ a third party todo the work for you. An external group (online document filing services) will save you time, energy, and resources. Besides their expertise in filing documents, they may also answer all your questions during setup.

CISOs: Make the Most of Your Time in the Boardroom | In Defense of ...

People in IT leadership roles, including CIOs and CISOs, typically only have five to eight minutes of time to present in Board of Director meetings, according to the latest research from the IT Policy Compliance Group. How CISOs use this time will often determine if they get the resources they need to effectively manage IT risk.

Adding to this pressure on CISOs is the fact that their boards are more attuned to security issues than ever before. ?Recent data from Forrester Research notes that 70% of security decision makers report increased executive awareness of IT security as a result of high profile attacks and breaches. ?So now, in less than 10 minutes, CISOs need to manage interactions with the board to focus on the most critical issues while avoiding distractions from what senior executives may have read about or heard regarding cyber-attacks. ?As a security leader, how do you maintain their focus on the issues that matter, and walk away from the board meeting with the resources or approvals you need to manage IT risk for the organization?

The simple answer is this: speak in business terms, not technical jargon. Unfortunately, only 12% of organizations view this as currently happening ? a recent survey by the Information Risk Executive Council illustrates that only 1-in-8 best performing organizations feel Info Sec can effectively influence business decisions. These CISOs are communicating IT risk through a business lens and can sit down with other C-level executives and business unit leaders to talk about how IT risk is impacting their business. To date very few organizations have yet reached this level of maturity.

The good news, however, is that most security leaders recognize that changes to their IT risk management program will positively impact their relationship with business counterparts. Nearly half of respondents (47%) to a Symantec commissioned survey by Forrester said that improvements in their ability to communicate the value of security and risk management in business terms would have the most impact on their relationship with business counterparts, while over 40% called out the need for more timely and accurate data, or more frequent reporting of risk and compliance.

Know your business risk

A new IT Policy Compliance Group report, ?Data Driven Reporting and Communications about IT: Better Results, Less Risk?, also echoes what security leaders told Forrester. This report offers some pointed findings around what best performing organizations are doing differently to communicate and report about IT, allowing senior managers to take action.

The best performing organizations do a number of things that set them apart. They communicate what the IT risks mean in business terms to a wide range of stakeholders. They gather more information about risk from the environment, including from their people and systems, and collect this information more frequently than others in an automated manner.? These organizations use dashboards and scorecards to communicate the business context to different stakeholders, and customize reports for each audience. ?Most importantly, their dashboards focus on communicating the business impact of IT risk. ?For instance, the data they show might summarize the risk to a business process, rather than highlight a technical issue on a server in the datacenter.? With these approaches, they can garner more attention, drive more action amongst stakeholders and make a better case for additional security investments.

When you consider that only one organization in ten uses data-driven reporting and communications, there?s clearly room for improvement among the other 90%. Whatever your approach is to reporting information about the business risks of using IT, most organizations can and should increase the relevance of IT to non-IT stakeholders. Adopting the practices of best performers is one place to start.

Translate business risk

It?s critical that CISOs communicate IT risks in business context if they are to drive accountability and action amongst business stakeholders.? Today Symantec announced a better way to communicate IT risk in business terms. The latest version of our IT governance, risk and compliance (IT-GRC) solution features the new Control Compliance Suite Risk Manager module. Risk Manager will enable security leaders to represent technical issues in the form of risks relevant to business processes, deliver customized views of IT risk for different stakeholders, and help prioritize remediation efforts based on business criticality rather than technical severity.

Would you welcome a streamlined way to communicate IT risk to your execs in business terms and secure more security budget? ?I look forward to your comments.

Brown Administration Divided Over California Higher Education Budget (ContributorNetwork)

The Daily Californian reports California Lt. Gov. Gavin Newsom, who is also a member of the UC Board of Regents as well as the California State University Board of Trustees, refers to Gov. Jerry Brown's proposed cuts to higher education as "disastrous." At issue are not only budget cuts but also changes to Cal Grant eligibility formulas. What are the details?

How much funding has been cut from California's higher education funding?

The proposed budget summary for the 2012-13 fiscal year -- published on the governor's website -- showcases that from the 2008-09 fiscal year to the 2011-12 fiscal year, some $2.65 billion of higher education general fund moneys were cut. Further cuts to grants and loan programs are hoped to result in savings totaling $308 million, which would help to close the $9.2 billion budget shortfall.

Who is affected?

The institutions relying on the general fund moneys are the California State University (approximately 412,000), the University of California (about 237,800 students), the Hastings College of the Law and the California Community College system (an estimated 2.6 million learners). Eliminated funding might lead to an uncertain future for UC's Drew Medical Program, summer school for sciences and math, AIDS research, and the Institutes for Science and Innovation.

How have these institutions offset the cuts?

Student tuition and fees have increased. Schools have reduced the number of courses offered. For example, the CSU Budget Office shows that while in the 2002-03 fiscal year the undergraduate fee was $1,572, by the 2011-12 year this fee had increased to $5,472.

Why is the governor's budget under criticism?

Although Brown proposes to increase general fund moneys by 4 percent for the 2013-14 and 2015-16 fiscal years, these promises are contingent on the voters' passage of the administration's proposed tax hikes. If the electorate does not approve tax increases, this funding will not materialize. Another point of contention is the change to the Cal Grant program, which assists students in need of financial aid to help defray the costs of their education.

How is the Cal Grant award program going to change?

Brown intends to decrease the Cal Grant award for students attending for-profit private colleges to $4,000. An estimated 14,900 learners will be affected by this change. Cal Grant awards for students attending nonprofit independent colleges will also be decreased; this is going to affect another 30,800 learners. Availability of the Cal Grant A will cut for students with a grade point average below 3.25, while Cal Grant B will only be available for learners with a GPA of 2.75 or better. This change might affect 26,600 students.

Are other officials working to help students and their families?

The USC Guardian reports California Assembly Speaker John Perez proposes to cancel corporate tax breaks to fund yearly $8,200 tuition breaks for CSU and UC students whose families have an income exceeding Cal Grant program limits but who still earn less than $150,000. If his proposal is accepted, it would benefit approximately 42,000 UC students.
